four steps to backing a round

a private round has always been a pdf and a promise. this one is a contract that already holds the money and already knows the terms.

the founder publishes the round

total supply, the price in eth, a soft cap, a hard cap, the treasury wallet that receives the raise, and the vesting schedule every contributor will be held to. all of it is written into the round contract when it is created, and none of it can be edited afterwards — not by the founder, not by us.

contributions sit in escrow

while the round is open, eth is held by the round contract itself, not by the founder. the hard cap is absolute: a contribution that would exceed it is rejected outright rather than partially filled.

the round closes one of two ways

soft cap met, and it finalizes — the raise goes to the declared treasury and the sold tokens move into vesting. soft cap missed, and it fails — every contributor withdraws their eth in full, with no fee taken from anyone.

tokens stream on the published schedule

after a successful round each backer registers their own vesting schedule once, then claims as it accrues. nobody can accelerate an unlock and nobody has to approve one.

What does Venture take?

Nothing. There is no protocol fee anywhere in the contracts and no address that could collect one. A successful round sends its entire raise to the treasury the founder declared; a failed round returns the exact amount every backer put in. You pay gas, and that is all.

Who is holding my eth while a round is open?

The round contract, not the founder and not us. There is no withdraw function for the founder and no admin key that could add one, so the eth is unreachable until the round closes.

At close it goes exactly one of two ways: the soft cap was met and the raise moves to the declared treasury, or it was missed and you take yours back.

What happens if the round misses its soft cap?

You withdraw your contribution in full — not pro-rata after costs, not minus a fee. The refund does not need the founder's cooperation or ours, so it still works if they disappear entirely.

Can the founder change the terms after I have contributed?

No. Supply, price, both caps, the treasury address, the cliff and the duration are all immutable from the moment the round is created. Nobody can edit them — not the founder, not us. That is the whole point of the thing.

What if the founder just refuses to close a successful round?

They cannot. finalize() is permissionless: once the soft cap is met and the close time has passed, anyone can call it, including you. A founder cannot strand backers in a round they have changed their mind about.

When do I actually get my tokens?

On the schedule the round published. Accrual starts when the round closes, and the cliff gates when you can claim — so nothing is available during the cliff, then everything accrued to that point unlocks at once, then it streams to the end of the term.

After a successful round you register your schedule once, then claim whenever you like. Nobody can accelerate an unlock and nobody has to approve one.

Is a round token equity? Do I own part of the company?

No. A round token is not equity, not a share, not a claim on any company or its assets, and carries no right to profits, dividends, redemption or repayment. It is a token on a schedule. If a project implies otherwise, that is the project talking, not the contract.

Does Venture vet the projects?

No, and it is important to be blunt about it. Anyone can create a round. The interface shows what that round declared on chain — a commitment enforced by code, not a statement we have checked about the people behind it. Publishing supply, vesting and treasury on-chain makes a round legible. It does not make it good, and it does not make it safe.

Are the contracts audited?

No. They are tested — including fuzz properties and a reentrancy attack against the refund path — but tests are not an audit. The escrow holds real money and nothing about it can be patched after deployment, so treat total loss as possible.

What is a direct launch, and can I do one?

Not yet. A direct launch would skip the raise and open a pool immediately, with no escrow, no soft cap and no refund path. It is described on the front page, but the contract for it is not written, so nothing can launch that way today.

Can I use this right now?

Not yet. The contracts are built and tested but deliberately not deployed, pending a security review. The docs page reads its addresses live and will show them the moment that changes.

What chain is this, and what do I need?

Robinhood Chain, an Arbitrum Orbit L2 with chain id 4663. Rounds are denominated in native ETH, so you need a wallet on that network with enough ETH to cover both your contribution and gas.
